General Terms and Conditions

Article 1 – Introduction

1. This introduction forms an integral part of the fitness and wellness service supply contract (hereinafter “Subscription”) between you (hereinafter “Member/Participant”) and PALESTRE2SIDE (hereinafter “2SIDE”), based at (SEE BELOW FOR DETAILS), concluded by signing the Contract, attached to these General Terms and Conditions.

2. By signing the Contract and these General Terms and Conditions, the Member/Participant agrees to the provisions of these General Terms and Conditions, those included in the internal regulations (hereinafter “Regulations”) read, accepted, signed, and attached to the Contract as well as the operational rules of the Centers that 2SIDE may issue from time to time and which will be communicated to the Member/Participant through notices displayed in the premises of the Centers.

Article 2 – Subscription (object, duration, renewal)

1. The Subscription gives the Member/Visitor the right to attend all 2SIDE-branded centers during the Center’s opening hours.

2. By signing the contract, the Member/Visitor acquires the right to use the services summarized in the attached Contract. These relate to:

ACTIVATION costs €49.00 and is mandatory when signing any subscription, remaining valid until the contract is terminated.

MONTHLY PLAN The “Monthly Plan” subscription is reserved for those who provide their IBAN details at the time of signing up and allows access to all 2SIDE-branded centers during opening hours. It includes use of the weight rooms, all equipment located there, and participation in all sessions organized to provide guidance or structure sports activities within the 2SIDE centers. This subscription renews monthly and requires payment of one month in advance, which will be used when cancelling (NOTE: cancellation must be communicated by the last day of the month, allowing the advance month to be used the following month) to cover one month still in progress or, in the event of non-payment of a recurring installment, the amount must be topped up by the last day of the month. Failure to make the payment will result in immediate termination of the contract or the payment of the remaining price. Only the first month after the activation date will the prorated amount for the previous month be charged to the provided IBAN.

Every year (on 12/31), EUR 5.00 will be charged for the registration fees for sports activities for the following year.

ANNUAL PLAN The ‘Annual Plan’ subscription allows access to all 2SIDE branded centers during their opening hours and days. It grants the use of the weight rooms and all the machines available there, as well as participation in all sessions organized to inform or structure sports activities within the 2SIDE centers. This subscription starts from the subscription start date indicated in the contract (the SUBSCRIPTION START DATE).

Every year (on 12/31), EURO 5.00 will be charged for registration procedures for the sports activities of the following year.

FORMULA ONE SHOT The “Formula One Shot” membership allows entry to all 2SIDE branded centers during opening hours and days. It gives access to the weight rooms and the use of all equipment available, as well as participation in all sessions organized to provide information or structure sports activities within 2SIDE centers. This membership can be renewed once after the first 30 days and can be re-subscribed only 12 months after the last expiration. If a user who signed up for the “Formula One Shot” membership subscribes to a following Annual / Annual web / Recurring Monthly membership within 60 days from the end date, they will not have to pay the activation fee, as it will already have been paid.

DAILY TRIAL PASS The “Daily Trial Pass” subscription allows entry to the 2SIDE center on the chosen day and during opening hours. It gives access to the weight rooms and the use of all equipment located there. This subscription starts from the subscription start date indicated in the contract (the subscription START DATE) and ends on the same day. Users who subscribe to the “Daily Trial Pass” and then sign up for a subsequent Annual / Annual Web / Recurring Monthly subscription within 30 days from the conclusion date will have the price paid for the “Daily Trial Pass” deducted. Requirements for subscribing to the “Daily Trial Pass” are mandatory: a minimum age of 15 years and a valid medical certificate for non-competitive sports.

Article 3 – Payment of the Price

1. The payment of the price is made in full and at the same time as the subscription date.

2. 2SIDE has the option to deviate from what is stated in point 1: 2SIDE may, at the time of signing the contract, modify the payment methods and terms. These will be detailed in the Contract under the section Payment Plan. Failure to pay an installment is grounds for immediate termination of this Contract, with 2SIDE having the right to request full payment of the amount agreed with the Member/Attendee.

Failure to pay even a single installment on the due dates indicated in the attached Registration Form will result in the immediate termination of the contract and the payment of the remaining price.

In the case of subscribing to the recurring monthly subscription, if one month’s payment is missed, the subscription will be canceled and the user, in case of re-enrollment, will have to pay the full activation fee and subscription fee again, not using the monthly plan.

3. The activation fee must be paid to 2SIDE exclusively when the Member/Attendee signs the Contract, following the methods provided there.

Article 4 – Physical Conditions of the Member/Participant

The Member/Participant must provide, at the time of registration, and in any case by the Subscription Start Date, as well as at each annual renewal of the medical certificate, a specific medical certificate proving their fitness for non-competitive sports activities. If the medical certificate is not submitted and/or renewed, 2SIDE WILL NOT ALLOW the Member/Participant access to the Center for the entire period during which this requirement is not met, without this affecting the duration of the subscription as outlined in the next Arti 6.

Article 5 – Entry Card

At the time of registration, 2SIDE will withhold an amount of EURO 10.00 as a deposit, for the personal card/bracelet given to the Member/Visitor, which allows access to the Center’s premises. Improper use of the personal card/bracelet will result in the immediate termination of this contract, the return of the card/bracelet, and the obligation for the member/visitor to immediately pay any outstanding installments. In the event of loss and/or damage of the card/bracelet, 2SIDE will keep the EURO 10.00 deposit as reimbursement: the Member/Visitor must promptly inform the reception of the loss and/or damage to get a replacement and pay a EURO 10.00 deposit. The Member/Visitor cannot access the Center without the personal card/bracelet.

Article 6 – Extraordinary Closure of the Center

1. In the case of renovation, repair, decoration, improvements, major cleaning, or performance of special extraordinary maintenance functions (lasting more than 15 days) that make the 2SIDE Center unusable, the Member/Visitor has the right, upon request according to the procedures in Article 14, to extend their Subscription for a period equal to the time the Center could not be used. This request must be made within 30 days of reopening.

Article 7 – Conduct of the Member/Visitor

1. In addition to what is established in these General Conditions, the Member/Visitor must carefully follow the attached Internal Regulations, the content of which is fully referred to here.

Article 8 – Parking

1. Any parking lots available at 2SIDE Centers for Members/Visitors are unattended. 2SIDE is not responsible for any damage and/or theft affecting the vehicles owned by the Member/Visitor and/or the items inside them.

Article 9 – Personal Trainer

1. At every 2SIDE Center, there can be Personal Trainers who offer their services directly to 2SIDE members/visitors. Personal Trainers are not authorized to act on behalf of 2SIDE or to commit 2SIDE in any way. They are professionally qualified and legally independent from 2SIDE.

Article 10 – 2SIDE’s Liability

1. 2SIDE is not responsible towards the Member/Visitor or their successors for any damages resulting from: a) behavior by the Member/Visitor that goes against the law, these General Conditions, the Internal Regulations, or the normal rules of caution required for the activities carried out at the Center; b) actions or omissions by third parties; c) force majeure beyond 2SIDE’s reasonable control.

2. In particular, 2SIDE is not liable for theft, loss, or damage to money or property owned by the Member/Visitor brought into the Center, unless the theft, loss, or damage is directly due to 2SIDE’s intentional wrongdoing or gross negligence. For this purpose, special safes are available that Members/Visitors are required to use.

Article 11 – Internal Regulations / Hours / Use of Services

1. 2SIDE has the right to modify the provisions of the Internal Regulations. If these changes result in a substantial worsening of the Subscription terms and conditions, the Member/User can cancel it, in accordance with the provisions of point 2 below. The Member/User will be entitled to a refund for any amounts already paid for the period of services not used (days), calculated pro rata. The changes are communicated to the Client in the most appropriate ways depending on the circumstances, including posting them in the Center’s premises.

2. By signing this contract, the Member/User declares that they have been informed and agree that changes in the schedule, type of courses, or instructor, as well as adjustments due to new regulations, do not give grounds for canceling the Membership. 2SIDE reserves the right to change the gym’s opening or closing hours, move course times, and/or reduce or cancel the hours dedicated to each course, including for cleaning, necessary repairs, special events, certain holidays, or during the summer period OD permanently. 2SIDE has the right to modify the structures or internal divisions as well as replace the equipment or machinery used in the different areas. Closing the center to carry out the operations mentioned above for a period of 15 consecutive days does not lead to an extension of your subscription.

Article 12 – Suspension

The Member/Attendee can suspend their Subscription only in case of pregnancy or serious injury, upon presenting the relevant medical documentation. Requests submitted after the absence period will not be accepted. The suspension will have the effect of extending the Subscription expiration by a period equal to the suspension itself.

The Member/Attendee can suspend their Subscription, if allowed by the subscribed plan, at a cost for the months they choose by paying EURO 10.00 for each month. Payment must be made at the reception desks of 2SIDE gyms by the last day of the month, referring to the following month(s). Requests submitted after the absence period will not be accepted. The suspension will have the effect of extending the Subscription expiration by a period equal to the suspension itself.

Article 13 – Express Termination Clause

1. 2SIDE reserves the right to terminate the Subscription under Article 1456 of the Civil Code by simply giving written notice to the Customer:

a. In case the Member/Visitor violates the provisions set out in Articles 5 and 3 of these General Terms and Conditions.

b. If all or part of the fees owed to 2SIDE are not paid within the specified payment deadlines.

2. As an alternative to terminating the Subscription, 2SIDE may, at its sole discretion, deny the Member/Visitor access to the Club for as long as the default mentioned in point 1, letter b) persists.

3. The Member/Visitor whose Subscription is terminated is not entitled to a refund of amounts already paid and must pay all sums owed to 2SIDE for any reason.

Article 14 – Communications

1. Communications to 2SIDE under these General Conditions must be made by the Customer (e.g., contract cancellation) by sending a notice to the registered office where the contract was signed, either via registered letter with acknowledgment of receipt or, alternatively, by sending an email to the specific address indicated on the website www.2side.it. In the case of sending by registered letter, the date of receipt is binding.

2. It is the responsibility of the Member/Visitor who wants to cancel their Subscription to instruct their bank in writing to stop the monthly direct debit.

Article 15 – Right of Withdrawal

1. The Member/Attendee has the right to withdraw from the Subscription within the strict term of 10 days from the Subscription Start Date, in accordance with the procedures set out in art.14.

2. If the Member/Attendee withdraws under this article, 2SIDE will refund what the Member/Attendee has paid, minus the activation fee and an amount calculated in proportion to the days passed from the Subscription Start Date to the date of withdrawal notification.

Article 16 – Processing of Personal Data

The Member/Visitor declares that they have been informed and have given their consent to the processing of the personal data provided, as per the separate notice under Legislative Decree 196/03, the contents of which are fully referenced here.

Article 17 – Use of Photos and Videos

The Member/Visitor authorizes 2SIDE to capture and use, directly or through third parties, publish, and share images/videos that feature them. The Member/Visitor releases 2SIDE from any financial obligations and from any responsibility related to improper use of the photographic material by third parties, freeing 2SIDE from any direct or indirect liability concerning damage to their image or privacy beyond what is legally required. Video-photographic material that harms the dignity or decency of the people involved will not be used and will be deleted immediately. The right to use the video-photographic material is granted free of charge, with an explicit waiver of any and all claims regarding it.
